These Terms and Conditions (“Terms,” “Agreement”) govern
your use of the services provided by Nathan Betters d.b.a Betters Agency
(“Company,” “we,” “us,” or “our”), including but not limited to social media
management, digital marketing, and professional services (“Services”). By
engaging with our Services, you agree to comply with and be bound by the
following terms. However, in the event of any conflict between these general
Terms and the terms set forth in any individually executed contract or agreement
with us, the terms of the individual contract will supersede these general
Terms.

1. Acceptance of Terms

By accessing or using our Services, you agree to be bound by
these Terms. If you do not agree to these Terms, you may not use our Services.
We reserve the right to modify or update these Terms at any time without prior
notice. Continued use of the Services after changes to these Terms signifies
your acceptance of the updated Terms.

2. Services provided by Nathan Betters d.b.a Betters Agency

provides various services, including but not limited to:

-Social media account management

-Social media content creation and scheduling Digital marketing strategies

-Customer relations management (CRM)

-Branding and professional services

We aim to provide these Services to help our clients enhance
their online presence and meet their business goals.

3. Individual Contracts Supersede These Terms

In the event that you enter into a specific contract or
agreement with Nathan Betters d.b.a Betters Agency, the terms of that
individual contract will take precedence over any conflicting provisions in
these general Terms. These general Terms will remain in effect to the extent
they do not conflict with the terms set forth in the individual contract.

4. Client Responsibilities

As a client of Nathan Betters d.b.a Betters Agency, you
agree to:

Provide accurate and complete information required for the execution of services. Cooperate with our team by responding promptly to requests for content, feedback, or approvals. Ensure that any materials or content provided to us (such as logos, images, or text) are owned by you or you have obtained the necessary permissions to use them. Understand that you are responsible for ensuring that your use of our Services complies with applicable laws, including but not limited to intellectual property laws and social media platform guidelines.

5. Payment Terms

Our services are provided on a contractual or subscription
basis. Payments are due according to the terms specified in the contract or
service agreement. All payments must be made in full, unless otherwise agreed
upon, and failure to make timely payments may result in suspension or
termination of services.

Payment Methods: We accept payments via [credit card via STRIPE, PayPal]. Late Payments: Late payments may incur a late fee of [10%] of the outstanding balance.

Refunds: Refunds for unused services or cancelled contracts are at the sole discretion of the Company and will be handled on a case-by-case basis.

6. Termination

Either party may terminate this Agreement at any time by
providing written notice to the other party. Upon termination:

You remain responsible for any fees due for services provided up to the date of termination. We will cease any active work on your behalf, and any unused or incomplete services will be considered void unless otherwise agreed.

We reserve the right to terminate or suspend access to our
Services immediately for any breach of these Terms.

7. Intellectual Property

All content, materials, and deliverables created or
developed by Nathan Betters d.b.a Betters Agency remain our intellectual
property until full payment for services has been made. Once payment is
received, you are granted a non-exclusive, perpetual license to use the
delivered materials for the agreed-upon purposes.

You agree not to use, reproduce, or distribute any
proprietary materials or designs provided by us without explicit permission.

8. Hold Harmless Agreement

You, the client, agree to hold Nathan Betters d.b.a Betters Agency, its officers, employees, and agents harmless from any and all claims, liabilities, losses, damages, and expenses, including but not limited to legal fees, arising out of or related to:

-Any content or materials provided by you for use in our Services, including, but not limited to, intellectual property infringement or violation of third-party rights.

-Your use of the Services, including any errors, omissions, or delays in the delivery of services or materials.

-Any breach of this Agreement by you or any failure to comply with applicable laws.

9. Limitation of Liability

To the maximum extent permitted by law, Nathan Betters d.b.a
Betters Agency will not be liable for any direct, indirect, incidental,
consequential, or punitive damages arising out of the use or inability to use
our Services, including but not limited to any errors or omissions in content,
loss of data, or interruption of business activities.

In any event, our liability will be limited to the fees paid
by you for the specific Services provided by us that gave rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Nathan Betters
d.b.a Betters Agency, its officers, employees, and agents from and against any
claims, liabilities, damages, losses, or expenses, including reasonable
attorney fees, arising out of or in any way connected with your access to or
use of our Services.

11. Confidentiality

We agree to maintain the confidentiality of any proprietary
or sensitive information shared by you during the course of our business
relationship. Likewise, you agree not to disclose any pricing details,
proprietary methodologies, or confidential communications between you and
Nathan Betters d.b.a Betters Agency without our prior written consent.

12. Governing Law

These Terms shall be governed and construed in accordance
with the laws of Minnesota, without regard to its conflict of law
provisions. Any disputes arising under or in connection with these Terms shall
be subject to the exclusive jurisdiction of the courts located in [Insert

13. Changes to Terms

Nathan Betters d.b.a Betters Agency reserves the right to
modify or update these Terms at any time. We will notify you of any changes by
updating the “Effective Date” at the top of these Terms. It is your
